1. Agreement to these Terms

These Terms of Service ("Terms") are a legally binding agreement between you and ArkByte Solutions Inc., a corporation incorporated under the laws of Newfoundland and Labrador, Canada ("ArkByte," "we," "us," or "our"). ArkByte owns and operates Road to A Million. These Terms govern your access to and use of roadtoamillion.app, the installable Road to A Million web application, and related services (collectively, the "Service"). By creating an account or otherwise using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility and accounts

You must be at least 18 years old to create an account or use the Service. The Service is not offered to anyone under 18, even with the permission or supervision of a parent or legal guardian. By creating an account or using the Service, you represent and warrant that you are at least 18 years old.

You must provide accurate, current information and keep it updated. You are responsible for safeguarding your credentials and for activity under your account. Notify us promptly if you suspect unauthorized access. You may not create an account for another person without authority or create a new account after we have suspended or terminated you without our permission.

3. What the Service does

Road to A Million is a personal financial-planning and wealth-tracking tool. It lets you manually record account names, account types, balances, contributions and check-ins; set targets and planning assumptions; view projections, milestones and personalized insights; receive optional reminders and progress emails; and generate an image of your progress to save or share.

The Service does not connect to your bank or brokerage, hold or transfer funds, execute trades, manage investments, or verify the accuracy of information you enter. Account labels in the Service are planning records only and are not financial accounts held by us. Some features may be labelled beta, preview, experimental, or "coming soon" and may be incomplete, changed, or withdrawn.

4. Important financial disclaimer

The Service and all projections, comparisons, milestones, reminders, educational material, and insights are provided for general informational and personal-planning purposes only. They are not financial, investment, securities, accounting, tax, legal, insurance, or other professional advice, and they are not a recommendation or offer to buy, sell, or hold any asset. We are not your adviser, fiduciary, broker, dealer, or financial institution.

Outputs are estimates generated from the data and assumptions you provide, including balances, contribution frequency, expected returns, inflation, age, and target. They may omit taxes, fees, market volatility, inflation, withdrawals, timing differences, and other real-world factors. Markets and cryptoassets can be volatile, returns may be negative, and past or assumed performance does not guarantee future results. You are solely responsible for verifying outputs and for your financial decisions. Consult an appropriately qualified professional before acting.

5. Your data and submissions

As between you and us, you retain ownership of the financial figures, account labels, check-in notes, feedback, bug reports, feature requests, survey responses, and other content you submit ("User Content"). You grant us a worldwide, non-exclusive, royalty-free licence to host, copy, process, transmit, display, and otherwise use User Content only as reasonably necessary to provide, secure, maintain, and improve the Service, comply with law, and enforce these Terms. This licence ends when the relevant User Content is deleted from our active systems, except where retention is permitted by our Privacy Policy or law.

You represent that you have the rights needed to submit User Content and that it does not violate law or another person's rights. Do not submit bank-login credentials, full account or card numbers, tax identification numbers, or information about another person unless you are legally authorized to do so. Feedback and product suggestions may be used by us without restriction, attribution, or compensation, but we do not acquire ownership of your personal financial data.

6. Acceptable use

You agree not to:

  • use the Service for unlawful, fraudulent, deceptive, or harmful activity;
  • infringe intellectual-property, privacy, publicity, or other rights;
  • access another user's account or data, or bypass authentication or access controls;
  • probe, scan, or test vulnerabilities without our prior written permission;
  • introduce malware or interfere with the security, integrity, or operation of the Service;
  • scrape, harvest, or use bots or automated means to access the Service except through interfaces we expressly authorize;
  • copy, modify, reverse engineer, decompile, or derive source code from the Service, except to the limited extent applicable law prohibits this restriction;
  • impersonate another person, misrepresent affiliation, or use the Service to spam;
  • resell, sublicense, or commercially exploit the Service without our written permission; or
  • use outputs as a substitute for professional advice or to make decisions for another person.

7. Our intellectual property

ArkByte owns Road to A Million. The Service, including its software, design, text, graphics, calculations, branding, logos, and other content excluding User Content, is owned by ArkByte or its licensors and is protected by intellectual-property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to access and use the Service for your personal, non-commercial purposes. No other rights are granted.

8. Third-party services and links

The Service relies on third-party providers for functions such as hosting, database infrastructure, authentication, email delivery, and Google sign-in. Your use of a third-party service may also be governed by that provider's terms and privacy policy. We do not control third-party services and are not responsible for their content, availability, security, or acts. Links do not imply endorsement. If a provider changes or discontinues its service, affected features may become unavailable.

9. Communications

You agree that we may provide agreements, notices, and other communications electronically, including through the Service or at the email address associated with your account. We may send essential account, security, and service messages. If you enable optional reminders, insights, or milestone emails, you may turn them off in Settings or use the unsubscribe link in an email. You are responsible for keeping your email address current.

10. Service changes, availability, and corrections

We may add, change, correct, suspend, or discontinue any part of the Service. We do not guarantee that the Service or any feature will always be available, uninterrupted, secure, or error-free. Maintenance, provider failures, internet conditions, security incidents, and events beyond our reasonable control may cause delay or loss of access. Keep independent records of information important to you. We may correct errors or inaccurate descriptions at any time.

The Service is currently offered without charge. If we introduce paid features, we will disclose the applicable price and additional payment, renewal, cancellation, and refund terms before you purchase them. We will not charge you merely because you hold a free account.

11. Suspension, termination, and account deletion

You may stop using the Service at any time. Account deletion is not currently self-service; you may request it using the contact information below. We may suspend or terminate access if we reasonably believe you violated these Terms, created risk or legal exposure, used the Service fraudulently, or if needed to protect the Service or others. Where reasonably practicable, we will provide notice.

On termination, your licence to use the Service ends. We will handle account data as described in the Privacy Policy. Sections that by their nature should survive—including intellectual property, disclaimers, liability limits, indemnity, disputes, and miscellaneous terms—will survive.

12. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL EXPRESS, IMPLIED, STATUTORY, AND COLLATERAL WARRANTIES AND CONDITIONS, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT. WE DO NOT WARRANT THAT OUTPUTS WILL BE ACCURATE OR COMPLETE, THAT DATA WILL NEVER BE LOST, OR THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR FREE OF HARMFUL COMPONENTS. Nothing in these Terms excludes a warranty or consumer right that cannot lawfully be excluded.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARKBYTE SOLUTIONS INC. AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, OPPORTUNITY, SAVINGS, GOODWILL, OR DATA; OR FINANCIAL OR INVESTMENT LOSSES ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED THAT SUCH LOSS WAS POSSIBLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (B) CAD $100. These limits apply regardless of the form of action and do not limit liability that cannot lawfully be limited, including where applicable for fraud, wilful misconduct, or death or personal injury caused by negligence.

14. Indemnity

To the extent permitted by law, you will indemnify and hold harmless ArkByte Solutions Inc. and its directors, officers, employees, affiliates, and personnel from third-party claims, damages, liabilities, and reasonable legal costs arising from your unlawful use of the Service, your User Content, your material breach of these Terms, or your violation of another person's rights. This obligation does not apply to the extent a claim results from our own breach, negligence, or wilful misconduct. We may control the defence of an indemnified claim, and you agree to reasonably cooperate.

15. Governing law and disputes

These Terms are governed by the laws of the Province of Newfoundland and Labrador, where ArkByte Solutions Inc. is incorporated, and the federal laws of Canada applicable there, without regard to conflict-of-law rules. Before filing a claim, you and we agree to try in good faith for 30 days to resolve it informally after written notice is sent to the contact below. Subject to any mandatory rights you have under applicable law, the courts located in St. John's, Newfoundland and Labrador will have exclusive jurisdiction over disputes arising from these Terms or the Service. Nothing here prevents either party from seeking urgent injunctive relief.

16. Changes to these Terms

We may update these Terms to reflect changes to the Service, law, security practices, or our business. We will post the revised Terms and update the date above. If a change is material, we will provide additional notice when required or appropriate. Changes apply prospectively from their effective date. If you do not agree to revised Terms, you must stop using the Service. Continued use after they take effect constitutes acceptance to the extent permitted by law.

17. Miscellaneous

These Terms and the policies expressly incorporated into them are the entire agreement between you and us about the Service and replace prior agreements on that subject. If a provision is found unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will remain effective. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, financing, reorganization, sale of assets, or by operation of law. These Terms do not create an employment, agency, partnership, joint venture, or fiduciary relationship. Headings are for convenience only.
